Agreement to Terms

By accessing or using OCPB's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Services Provided

OCPB provides music management, publishing, audio fingerprinting, copyright registration and maintenance, DMCA takedowns, record clearances, and related entertainment law services. Services may be provided on a contractual basis or as one-off engagements.

User Responsibilities

When using our services, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your account credentials
• Comply with all applicable laws and regulations
• Not misuse or abuse our services
• Respect intellectual property rights

Intellectual Property

All content, trademarks, logos, graphics, photographs, artwork, text, designs, layouts, code, and any other materials displayed on or associated with OCPB's website, platform, and services (collectively, the “Materials”) are the exclusive property of OCPB or its licensors, and are protected by copyright, trademark, and other intellectual property laws.

Except as expressly authorized in writing by OCPB, you may not, in whole or in part:

• Copy, reproduce, download, scrape, archive, or store any Materials by any means, manual or automated
• Distribute, publish, transmit, broadcast, or make available any Materials to any third party
• Modify, adapt, translate, reverse engineer, or create derivative works from any Materials
• Use any Materials for commercial purposes, advertising, promotion, or training of artificial intelligence or machine learning models
• Remove, obscure, or alter any copyright, trademark, or other proprietary notices
• Use automated tools, bots, crawlers, or data harvesters to access, extract, or collect Materials
• Frame, embed, mirror, or otherwise incorporate our Materials into any other website, application, or service

Unauthorized use of any Materials constitutes copyright infringement and may result in civil liability, statutory damages, attorneys' fees, injunctive relief, and, where applicable, criminal prosecution. OCPB actively monitors for unauthorized use of its Materials and will vigorously enforce its rights to the fullest extent permitted by law, including pursuing DMCA takedowns, cease-and-desist demands, and legal action.

All rights not expressly granted herein are reserved by OCPB.

Compensation & Payment Terms

Compensation for our services is structured on a case-by-case basis and agreed upon in writing before any engagement begins. Depending on the nature of the work, our compensation may take the form of:

• A percentage of the composition (publishing share)
• A flat fee for one-off or project-based services
• A combination of the above

Exact percentages and terms vary by project, scope of services, and the artist's individual circumstances, and will always be clearly outlined and agreed upon in the applicable service agreement before any work begins. Fees are due as specified in your agreement. Late payments may result in suspension of services and additional fees.

Limitation of Liability

OCPB provides services on an "as is" basis. While we strive for excellence, we cannot guarantee specific outcomes. To the fullest extent permitted by law, OCPB shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services.

Termination

Either party may terminate the service relationship in accordance with the terms specified in individual service agreements. We reserve the right to suspend or terminate access to our services for violation of these terms.

Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through good faith negotiation. If resolution cannot be reached, disputes may be subject to binding arbitration or litigation as specified in individual service agreements.

Modifications

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes constitutes acceptance of the modified terms.

Governing Law

These Terms of Service shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
